TERMS AND CONDITIONS
THESE TERMS AND CONDITIONS (“TERMS”) ARE A LEGALLY BINDING AGREEMENT BY AND BETWEEN YOU AND THE FAIR ENERGY RATE ACTION FUND AND GOVERN YOUR PARTICIPATION IN THE CHALLENGE.

This challenge is in no way sponsored, endorsed, administered by or associated with Facebook.
1. Sponsor. The Fair Energy Rate Action Fund, PO Box 50384, Saint Louis, MO 63105 is the sponsor (“Sponsor”) of the Challenge.
2. Eligibility. The Challenge is open only to individuals who are 18 years of age or older and members of Sponsor’s Action Network located at http://fairenergyrates.com (the “Site”) at the beginning of the Challenge Period (defined below) (“Eligible Entrant”). Employees of Sponsor, its affiliates, public relations agencies, advertising agencies and marketing companies, any of their respective agents and the immediate families of any of their respective employees or persons with whom such employees are domiciled are not eligible to enter or win the Challenge. The Challenge is subject to all applicable federal, state and local laws.
3. Challenge Period; How To Enter. The Challenge begins at 12:00 am CT on November 15, 2011 and ends at 11:59:59 p.m. CT on January 10, 2012 (the “Challenge Period”). To be eligible to enter the Challenge, you must satisfy the following criteria: (i) an Eligible Entrant submits the name of a referral to become a member of Sponsor’s Action Network through the Site any time during the Challenge Period (“Eligible Referral”) and (ii) the Eligible Referral joins Sponsor’s Action Network as a member. There is no cost to join and become a member of Sponsor’s Action Network. If all of the criteria are met, an Eligible Entrant may be eligible to win the prizes described below. In order to qualify as an Eligible Referral, (i) Eligible Entrant must have obtained permission from the person to have their name submitted as a potential member of Sponsor’s Action Network, and (ii) the referral cannot have previously been submitted by another referral source (including self-referral) during the Challenge Period. If multiple Eligible Entrants submit the same Eligible Referral, only the Eligible Entrant who submitted the Eligible Referral first will receive credit for the referral if the Eligible Referral becomes a member of Sponsor’s Action Network and the Eligible Entrant may be eligible to receive a prize under the Challenge. There is no limit to the number of Eligible Referrals that an Eligible Entrant may submit. Anyone entering invalid personal information will be disqualified from the Challenge. In the event of a dispute regarding the identity of an Eligible Entrant, the referral will be deemed made by the authorized account holder of the member account used to submit the Eligible Referral. Only electronic referrals are permitted through the Site as described above.
4. Prizes. Eligible Entrants who submit an Eligible Referral that results in the Eligible Referral joining Sponsor’s Action Network and becoming a member may be eligible for the following prizes:
- New iPod Touch, 32 GB, 4th Generation (1) – The first Eligible Entrant to have 20 Eligible Referrals become members of Sponsor’s Action Network.
- New iPod Nano, 8 GB, 6th Generation (2) – The first two (2) Eligible Entrants to have 15 Eligible Referrals become members of Sponsor’s Action Network will each receive an iPod Nano.
- $50 Target Gift Card (4) – The first four (4) Eligible Entrants to have 10 Eligible Referrals become members of Sponsor’s Action Network will each receive a $50 Target Gift Card.
- New iPod Shuffle (2) – The first two (2) Eligible Entrants to have 8 Eligible Referrals become members of Sponsor’s Action Network will each receive a new iPod Shuffle.
- $10 iTunes Gift Card (10) – The first ten (10) Eligible Entrants to have 4 Eligible Referrals become members of Sponsor’s Action Network will each receive a $10 iTunes Gift Card.
Winners may only be awarded a single prize so cumulative highest total Eligible Referrals that become members of Sponsor’s Action Network will determine the prize. Prizes will be awarded in order from the iPod Touch to the iTunes Gift Card. The potential winners, if any, of each prize will be notified via email by Sponsor. Potential winners are subject to verification, and will be required to execute and return an Affidavit of Eligibility and Publicity/Liability Release (“Affidavit and Release”) to be received by Sponsor within three (3) days of the date of written notification, or an alternative winner may be selected. Odds of winning depend upon the number of Eligible Referrals that become members of Sponsor’s Action Network. The decisions of Sponsor in all matters relating to this Challenge are final.
None of the prizes can be transferred, substituted or redeemed for cash. Each winner is responsible for the reporting and payment of all applicable federal, state and local taxes (including income taxes) associated with their respective prize and will and hereby do hold Sponsor harmless from liability for failure to timely report and/or pay such taxes. Sponsor shall have no responsibility or obligation to a winner or potential winner who is unable to accept or utilize any of the prizes as described herein. In the case of a winner’s forfeiture of a prize, Sponsor may select another winner according to these Terms. Each winner is responsible for all other charges, costs or expenses of any kind not listed as included in the prize. Unclaimed prizes will not be awarded.
5. Indemnification. By entering the Challenge, you agree to indemnify, defend, and hold harmless Sponsor, Facebook, their respective officers, directors, partners, members, shareholders, employees, agents, executors, family members, heirs and assigns, and each of their respective parent companies, subsidiaries, affiliates, advertising and promotional agencies (“Sponsor Entities”) from and against any and all liability, damages or causes of action (however named or described), with respect to or arising out of either (i) your participation in the Challenge; and/or (ii) the receipt, redemption or use of the prizes awarded in the Challenge. You agree to release all rights to bring any claim, action or proceeding against Sponsor, Facebook or any of the other Sponsor Entities, further covenant not to sue Sponsor, Facebook or any of the other Sponsor Entities and hereby acknowledge that neither Sponsor, Facebook nor any Sponsor Entity has made or is in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to the Challenge or the prizes.
6. DISCLAIMER OF WARRANTIES. SPONSOR IS PROVIDING THE CHALLENGE ON AN “AS IS” AND “AS AVAILABLE” BASIS. SPONSOR DOES NOT REPRESENT OR WARRANT THAT THE CHALLENGE OR THE TECHNOLOGY USED TO PROVIDE IT: (I) WILL BE UNINTERRUPTED OR SECURE, (II) WILL BE FREE OF DEFECTS, INACCURACIES OR ERRORS, OR (III) WILL MEET YOUR REQUIREMENTS OR ENABLE YOU TO PARTICIPATE IN IT. SPONSOR MAKES NO WARRANTIES OTHER THAN THOSE MADE EXPRESSLY IN THESE TERMS, AND HEREBY DISCLAIMS ANY AND ALL IMPLIED WARRANTIES, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY AND NON-INFRINGEMENT.
7. Limitation of Liability. Your noncompliance with any of these Terms, the Facebook Statement of Rules and Responsibilities, and any other terms governing Facebook may result in your disqualification. Sponsor is not responsible for anything outside of its reasonable control. Sponsor is not responsible for typographical errors in any Challenge-related materials, or for any individual’s inability to enter this Challenge, including but not limited to unavailable network, server, telephone, or other connections; undeliverable emails; failed software or hardware transmissions; other errors of any kind, whether human, mechanical, or electronic, including lost, late, incomplete, damaged, or misdirected referrals; or for any damage to any computer related to or resulting from participation. Eligible Referrals submitted by script, macro, or other automated entry devices are not valid and will be disqualified. Sponsor reserves the right in its sole discretion to cancel or suspend the Challenge should any of the foregoing occurrences corrupt or impair the administration, security, fairness, or proper play of the Challenge. Eligible Entrants agree that Sponsor, Facebook and Sponsor Entities shall not be liable for injury, losses, damages, or costs of any kind resulting from participation in this Challenge, or submission of a referral by an Eligible Entrant. Eligible Entrants consent to the use of their registration information in accordance with Sponsor’s privacy policy, as the same may be amended from time and time and available at the Site. By entering the Challenge, you agree to be bound by these Terms and the decisions of Sponsor, which are final and binding in all respects.
8. CAUTION: ANY ATTEMPT BY YOU TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CHALLENGE IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM YOU TO THE FULLEST EXTENT PERMITTED BY LAW. THE MISSOURI COURTS (STATE AND FEDERAL) SHALL HAVE SOLE JURISDICTION OF ANY CONTROVERSIES REGARDING THE CHALLENGE AND THE LAWS OF THE STATE OF MISSOURI SHALL GOVERN THE CHALLENGE. BY PARTICIPATING IN THE CHALLENGE, YOU WAIVE ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THESE COURTS AND SUBMIT TO THE JURISDICTION OF THESE COURTS.
9. LEGAL RIGHTS. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS PROVIDED ABOVE OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.
